ABOUT YOUR (THE "CUSTOMER'S") RIGHTS AND OBLIGATIONS, AS WELL AS
LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU.
This Agreement contains the terms and conditions that apply to Customer's
purchase from LegalStore.com of legal and office supplies and/or related
products ("Supplies") in the United States. By accepting delivery of
the Supplies, Customer agrees to be bound by and accepts these terms and conditions.
THESE TERMS AND CONDITIONS APPLY UNLESS THE CUSTOMER AND LEGALSTORE.COM HAVE
SIGNED A SEPARATE AGREEMENT COVERING THE PURCHASE OF THE SUPPLIES IN WHICH CASE
THE SEPARATE AGREEMENT SHALL GOVERN.
Purchase
Upon LegalStore.com's acceptance of the Customer's order, a firm contract for
the purchase and sale of the Supplies will be formed between LegalStore.com and
Customer, and shall incorporate all the terms set forth herein. These terms and
conditions shall NOT be altered or amended by the use of any document(s). Any
attempt to alter this document or to enter an order for Supplies which are
subject to additional and/or altered terms and conditions will become null and
void, unless otherwise agreed to in a written agreement signed by both parties.
Order Acceptance
All product orders are for use and delivery within the United States.
ALL ORDERS PLACED BY CUSTOMER ARE SUBJECT TO ACCEPTANCE BY LEGALSTORE.COM.
Delivery
Delivery shall be subject to LegalStore.com's Delivery & Returns Policy.
Warranty
LegalStore.com warrants that LegalStore.com is the legal and rightful owner of
the Supplies or that it is legally licensed and/or authorized to sell and/or
distribute Supplies being purchased hereunder. All Supplies delivered hereunder
will be free and clear of any and all encumbrances of any kind. You acknowledge
that LegalStore.com is not the manufacturer of any of the Supplies purchased
hereunder. Other than as expressly set forth in this Agreement, any warranty
with respect to the Supplies must come from the manufacturer.
LegalStore.com will pass through to you any applicable manufacturer warranties,
to the extent transferable. THIS WARRANTY SUPERSEDES ALL INCONSISTENT
PROVISIONS OF ANY AND ALL PURCHASE ORDERS, INVOICES, ACKNOWLEDGMENTS, OR OTHER
WRITINGS OR STATEMENTS, WRITTEN OR OTHERWISE. LEGALSTORE.COM DISCLAIMS ALL
OTHER EXPRESS OR IMPLIED WARRANTIES AND PRODUCT LIABILITY, SPECIFICALLY
INCLUDING THE IMPLIED WARRANTIES OF NONINFRINGEMENT, MERCHANTABILITY, AND
FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability
In no event will LegalStore.com be liable for any indirect, special,
incidental, or consequential damages, whether based on contract, tort, or any
other legal theory, including without limitation loss of data or its use, loss
of profits, loss of business, or other economic damages, even if advised of the
possibility of such loss or damage. Notwithstanding anything to the
contrary, LegalStore.com’s liability is limited to the replacement value of the
Supplies.
Returns
Legal and office Supplies
Legal and office supplies
may be returned for a full refund within 30 days of the original purchase date
with the original sales receipt (“sales receipt” includes Email order
confirmation or delivery packing list) or exchanged for an identical item
regardless of when you made your purchase. Supply returns without a
receipt/packing list will be eligible for an exact-item exchange or a
Merchandise Credit for the lowest sales price in the past 60 days. Original
shipping costs are non-refundable. Orders that received FREE SHIPPING will be
charged a $9.45 shipping fee. Items no longer stocked by LegalStore.com will
not be eligible for return. Imprinted or custom orders are non-refundable. All
returns must have a returned authorization. Call 800-809-1539 for details.
Ink/Toner
Ink/toner may be returned in the original unopened packaging within 30 days of
the original purchase date with the original sales receipt. Opened
ink/toner or ink/toner without a receipt will be eligible for an exact-item
exchange or a Merchandise Credit for the lowest sales price in the last 60
days. Ink/toner no longer stocked by LegalStore.com will not be eligible
for return.
Technology Items
LegalStore.com will only accept the return of technology products in their
original packaging (including all accessories and manuals) with the original
sales receipt within 14 days of the original purchase date. Opened technology
returned within the 14-day period with the original sales receipt will be
subject to a 15% restocking fee. Defective technology items with the
original sales receipt may be exchanged for the same item within 14 days of the
original purchase date. Technology items consist of, but may not be
limited to, computers (desktop, laptop and netbook), monitors, digital cameras,
hard drives, business machines, networking equipment, projectors, cash
registers, digital picture frames, shredders, telephones, computer peripherals
and accessories.
Software
Software may be returned in the original, unopened packaging within 14 days of
the original purchase date with the original sales receipt. Open software
can only be exchanged for the identical title, with new software unsealed at
the time of exchange to complete the return.
Furniture
Returns are limited to 14 days from receipt of product(s). If your item does
need to be returned, please call us first to arrange a pickup. Pack and ship
the item in its original shipping carton with the packing slips, manuals and
instructions provided by the manufacturer. Special order,
manufacturer-direct, custom and preassembled furniture is not eligible for
return.
Special Order Items
Special Order Service items are not returnable.
Refunds
Refunds will be made in the same form of payment used for the purchase. Checks
over $250 will be refunded via a check mailed to the customer. Refunds for
credit card purchases will be applied only to the card used for the original
purchase. Customers who purchased on account will be issued a Credit Memo.
Authorized returns without the original sales receipt will be issued a
Merchandise Credit. Any such return is subject to verification.
(Merchandise Credits are not redeemable for cash unless otherwise required by
law.) After the return time frame has expired, please refer to the manufacturer's
warranty.
LegalStore.com reserves the right to deny any return.
Pricing
Supplies purchased from this Web Site are not intended for resale.
LegalStore.com reserves the right to limit quantities and to refuse orders made
from legal and office product dealers and distributors. Although we intend to
maintain our pricing throughout the life of our catalogs, we reserve the right
to change prices and limit quantities due to changes in market conditions.
Every effort is made for the prices listed on the Web Site to be accurate.
However, occasional posting errors may occur, thus LegalStore.com reserves the
right to bill for all Supplies at the prices that it deems to be correct, in
its sole discretion.
Furniture
All orders of furniture may be subject to additional terms and conditions.
Taxes
You shall be responsible for any state or local tax (excluding taxes based on
LegalStore.com's income or profits) that results from the transfer of title or
sale or delivery of the Supplies purchased hereunder unless a valid and correct
tax exemption certificate is furnished to LegalStore.com before placing order.
Payment
Payment is due at time of purchase unless a business account has been
established for open credit. Late payments shall be assessed a late
payment charge at the rate of 1.5% per month, but in no event shall such
interest exceed the maximum percentage allowable by law.
Credit Limits
Credit limits and terms shall be subject at all times to LegalStore.com's
credit policies and procedures, as amended from time to time.
Mutuality
All debts and obligations of LegalStore.com and you to each other are mutual
and subject to setoff; for purposes of this sentence, LegalStore.com and you
shall be deemed to include each of the parties' respective subsidiaries and
affiliates which directly or indirectly control or are controlled by such party
through 100% equity ownership.
Not for Resale
You agree and represent that you are buying for your own internal use only, and
not for resale.
Reservation of Rights
LegalStore.com reserves the right to change at any time without notice these
terms and conditions of sale.
